GE Completes Divestment of Power Generation Assets to Ansaldo Energia

BADEN, SWITZERLAND-February 26, 2016-Today, GE (NYSE: GE) closed its transaction to divest select power generation assets to Ansaldo Energia. GE first announced the transaction in September 2015 when the European Commission and U.S. Department of Justice approved GE’s acquisition of Alstom’s Power and Grid businesses on the condition that GE would commit to divest segments of Alstom’s heavy-duty gas turbine business, pending regulatory approvals.

 

The final purchase price of the deal is €120 million, and today’s announcement confirms that the transaction has met all required regulatory approvals to close. Under the terms of the deal, GE has divested the following assets to Ansaldo Energia:

 

  • Alstom’s GT26 (an F-class gas turbine) product line for new unit sales.
  • Alstom’s GT36 technology development program, which upon completion would result in an H-class gas turbine product.
  • Services contracts for 34 GT26 units. The remainder of Alstom’s gas turbine installed base (approximately 720 units) remains with GE.
  • In addition, to address concerns raised by the Department of Justice and European Commission regarding competition for the service of GE gas turbines, GE has divested Alstom’s Power Systems Manufacturing (PSM) business, which provides after-market parts and services for other OEMs’ equipment. GE will receive a license to the PSM intellectual property used to offer after-market services for non-GE gas turbines.

 

This transaction close marks another important milestone as GE continues to integrate Alstom’s Power and Grid businesses and transform into the world’s premier digital industrial company.

GE FINALIZZA LA CESSIONE DI ASSET PER LA PRODUZIONE DI ENERGIA AD ANSALDO ENERGIA

BADEN, SVIZZERA - 26 febbraio 2016 - Oggi GE [NYSE:GE] ha finalizzato la cessione ad Ansaldo Energia di alcuni asset per la produzione di energia. GE aveva annunciato l'operazione a settembre 2015, quando la Commissione europea e il Dipartimento della giustizia statunitense avevano approvato la vendita a GE delle divisioni Power e Grid di Alstom, subordinandola all'impegno di GE di cedere parte degli impianti di produzione di grandi turbine a gas in attesa dei nullaosta delle autorità di vigilanza.

L'annuncio odierno del perfezionamento dell'operazione al prezzo d'acquisto definitivo di 120 milioni di euro, conferma l'avvenuto ottenimento di tutti i necessari nullaosta da parte delle autorità di vigilanza. L'operazione prevede la cessione da GE ad Ansaldo Energia delle seguenti attività:

 

  • La linea di produzione di turbine a gas GT26 (classe F) di Alstom da destinare alle future vendite.
  • Il piano di sviluppo della tecnologia di Alstom per la produzione di turbine GT36 che, una volta ultimato, permetterà di realizzare turbine a gas di classe H.
  • I contratti di assistenza per 34 turbine GT26. Le altre turbine a gas già installate da Alstom (circa 720 unità) resteranno a GE.
  • Inoltre, per rispondere alle perplessità manifestate dal Dipartimento della giustizia statunitense e dalla Commissione europea sulla concorrenza per l'assistenza alle turbine a gas di GE, quest'ultima ha venduto Power Systems Manufacturing (PSM), una controllata di Alstom che fornisce ricambi e assistenza post vendita per altre apparecchiature OEM. GE riceverà una licenza d'uso della proprietà intellettuale di PSM necessaria per l'assistenza post vendita alle turbine a gas non prodotte da GE.

L'operazione rappresenta un’altra importante tappa nel processo di integrazione delle attività di produzione e di distribuzione di energia di Alstom in GE, che così si avvia a diventare la più importante società industriale digitale del mondo.
